We offer subscription-based budgeting support through YNAB. You pay month-to-month, can cancel any time, and you remain responsible for your own financial decisions. You must maintain your own YNAB subscription (purchased separately from YNAB). We don't give tax, legal, or investment advice. Full Terms below.

Welcome to Stoic Budget LLC ("Stoic Budget," "we," "our," or "us"). By accessing or using our website, services, or any related materials, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). Please read them carefully before using our services.

1. Services Provided

Stoic Budget LLC provides subscription-based personal budgeting support using zero-based budgeting principles through the YNAB (You Need A Budget) software platform. Our services include:

Initial budget setup and configuration in YNAB
Monthly budget maintenance and reconciliation
Transaction categorization and review
Monthly financial reports and personalized recommendations
Ongoing budgeting education and support

Our services are delivered online through secure third-party software platforms (primarily YNAB) and communication tools including email, video conferencing, and secure messaging.

1.1 What We Do NOT Provide (and Educational Nature of Services)

Unless explicitly stated otherwise in a separate written agreement, we do not provide:

Legal advice or services
Tax preparation or tax advice
Investment advice or portfolio management
Securities brokerage services
Credit repair services
Debt settlement or negotiation services
Loan or credit approval services
Direct access to or control over your bank accounts
Financial transactions on your behalf
Legal protection from creditors or collection agencies
YNAB software subscriptions (you must purchase separately)

Educational Nature of Services: Our services are educational and advisory in nature. We provide budgeting tools, guidance, and recommendations, but you retain full control and responsibility for all financial decisions and actions.

If you require any of these services, please consult a qualified licensed professional.

2. Subscriptions and Payment

2.1 Pricing

Individual Plan: $139 per month
Family Plan: $209 per month

Important: These fees do not include a YNAB subscription. You must purchase and maintain your own active YNAB subscription (approximately $14.99/month or $109/year) separately and directly from YNAB at ynab.com. Our services require you to have an active YNAB subscription at all times.

2.2 Billing Terms

Subscriptions are billed monthly in advance via our secure payment processor on the date you subscribe.
Your subscription begins upon completion of initial onboarding and budget setup.
Payment is due immediately upon billing. Failed payments may result in service suspension after a 5-day grace period.
You authorize us to charge your payment method on file for all subscription fees.
Stoic Budget fees are separate from and in addition to your YNAB subscription fees, which you pay directly to YNAB.

2.3 Price Changes

We reserve the right to modify our pricing with at least 30 days' advance notice. Price changes will apply to billing cycles beginning after the notice period. Your continued use of services after a price change constitutes acceptance of the new pricing.

2.4 Cancellation and Refunds

You may cancel your subscription at any time by emailing info@stoicbudget.com or through your account dashboard.
Cancellation stops future billing but does not refund charges already processed.
No refunds are provided for partial months unless required by applicable law.
Upon cancellation, you will retain access to services through the end of your current billing period.
Canceling your Stoic Budget subscription does not cancel your YNAB subscription. You must cancel your YNAB subscription separately through YNAB if desired.

2.5 Free Trials

If we offer a free trial period, we will require valid payment information. Unless you cancel before the trial ends, you will be automatically charged for your first subscription period. Free trials do not include YNAB subscriptions—you must have an active YNAB subscription during any trial period.

3. Client Responsibilities

3.1 Age and Capacity

You must be at least 18 years of age and legally capable of entering into binding contracts to use our services. If you are using our services on behalf of a minor, you represent that you have legal authority to do so.

3.2 Accurate Information

You agree to:

Provide accurate, complete, and current information necessary for us to perform budgeting services
Promptly update us of any changes to your financial situation that may affect your budget
Review all budgets, reports, and recommendations we provide for accuracy
Notify us immediately of any errors or discrepancies

3.3 YNAB Subscription and Account Access

YNAB Subscription Requirement: You must purchase and maintain an active YNAB subscription directly from YNAB at all times while using our services. If your YNAB subscription lapses or is canceled, we will be unable to provide our services until it is reinstated. Stoic Budget is not responsible for maintaining your YNAB subscription or any costs associated with it.

Account Security: You are responsible for:

Purchasing your own YNAB subscription from ynab.com
Maintaining the security and confidentiality of your YNAB login credentials
Granting Stoic Budget view and edit access to your YNAB budget through YNAB's sharing features
Not sharing your YNAB login credentials with unauthorized third parties
Notifying us immediately of any unauthorized access or security breach
Ensuring your YNAB subscription remains active throughout the duration of our service relationship

Granting Access: As part of onboarding, you will grant us authorized access to your YNAB budget. This does not give us access to your YNAB account login credentials or billing information—only to your budget data through YNAB's official sharing functionality.

3.4 Client Cooperation

You agree to:

Respond to our requests for information in a timely manner
Participate in scheduled calls or meetings as needed
Link your financial accounts to YNAB or provide transaction data through other approved methods
Review your budget regularly and provide feedback
Maintain an active YNAB subscription at all times

3.5 Your Financial Decisions

You acknowledge and agree that:

You are solely responsible for all financial decisions you make
We provide guidance and recommendations, but you make the final decisions
You will independently verify any information before taking action
Your financial outcomes depend on your own discipline, spending behavior, income, and external economic factors beyond our control

4. Access to Your Financial Information

4.1 YNAB Budget Access

To provide our services, you will grant us view and edit access to your YNAB budget through YNAB's authorized sharing features. This access allows us to:

View your budget categories, transactions, and account balances
Enter and categorize transactions
Create reports and goals
Make budget adjustments and recommendations

We do not and will not request your YNAB login credentials. All access is provided through YNAB's official budget sharing functionality.

4.2 Bank Account Access

We do not require or request direct access to your bank accounts, login credentials for banking websites, or ability to make financial transactions on your behalf. All bank account connectivity is managed through YNAB's secure integration or your manual transaction entry.

4.3 Data You Provide

You may choose to share financial documents, statements, or other sensitive information with us through secure channels. By sharing this information, you authorize us to use it solely for the purpose of providing budgeting services to you.

4.4 Revocation of Access

You may revoke our access to your YNAB budget at any time through YNAB's sharing settings, but doing so will prevent us from providing services and may be considered a termination of your subscription.

5. Privacy, Data Security, and Confidentiality

5.1 Privacy Policy

We collect and use personal information according to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

5.2 Data Security Measures

We implement industry-standard security measures including:

Bank-level encryption (256-bit SSL/TLS)
Secure third-party platforms with SOC 2 compliance
Limited access to client data on a need-to-know basis
Regular security audits and updates

5.3 No Guarantee of Security

Despite our security measures, no system is completely secure. You acknowledge that you use our services at your own risk. We are not responsible for unauthorized access to your information resulting from circumstances beyond our reasonable control.

5.4 Confidentiality

We agree to keep all your financial information strictly confidential and will not share, sell, or disclose your information except:

As necessary to provide services to you (e.g., accessing your YNAB budget)
With your explicit written consent
As required by law, court order, or government regulation
To protect our legal rights or prevent fraud
In anonymized, aggregated form that cannot identify you personally

5.5 Data Retention

We will retain your financial data for the duration of our service relationship and for up to 12 months after termination for record-keeping and legal compliance purposes. After this period, we will securely delete or anonymize your information unless longer retention is required by law.

5.6 International Clients

If you are located outside the United States, you consent to the transfer and processing of your information in the United States. We will comply with applicable international data protection laws including GDPR where applicable.

5.7 Security Breach Notification

In the event of a data breach that affects your personal information, we will notify you within 72 hours of becoming aware of the breach, in accordance with applicable law.

6. Limitation of Liability

6.1 AS-IS Service

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 No Liability for Financial Outcomes

TO THE FULLEST EXTENT PERMITTED BY LAW, STOIC BUDGET LLC SHALL NOT BE LIABLE FOR:

Any financial losses, investment losses, or lost profits
Missed payments, late fees, or overdraft charges
Credit score impacts or credit report errors
Tax penalties or interest charges
Bank fees or service charges
Incorrect financial decisions based on our recommendations
Any indirect, incidental, special, consequential, or punitive damages

6.3 Limitation on Direct Damages

Our total aggregate liability to you for any and all claims arising from or related to our services will not exceed the total amount you paid us in the three (3) months immediately preceding the claim.

6.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

6.5 Third-Party Services

We are not responsible for any damages or losses caused by third-party services including YNAB, payment processors, communication platforms, or any other tools we use to deliver our services. This includes but is not limited to YNAB service outages, data loss, price increases, feature changes, or termination of YNAB services.

7. No Guarantee of Results

While our goal is to help you achieve greater financial discipline, clarity, and control over your money, we do not and cannot guarantee:

Specific savings amounts or percentages
Debt reduction results or timelines
Achievement of financial goals
Improved credit scores
Prevention of financial difficulties
Success in building wealth or emergency funds

You acknowledge that budgeting is a tool, not a guarantee, and that your financial outcomes depend on your own financial decisions, discipline, spending behavior, income changes, market conditions, and external economic factors beyond our control.

8. Intellectual Property

8.1 Our Property

All content, materials, templates, reports, methodologies, and tools we provide remain the intellectual property of Stoic Budget LLC. You receive a limited, non-exclusive, non-transferable license to use these materials solely for your personal budgeting purposes during your subscription.

8.2 Your Property

All financial information, data, and personal details you provide remain your property. We claim no ownership over your financial information.

8.3 Restrictions

You may not:

Reproduce, distribute, or sell our materials or methodologies
Use our services to provide budgeting services to others
Reverse engineer or copy our business processes
Remove copyright or proprietary notices from our materials

9. Indemnification

You agree to indemnify, defend, and hold harmless Stoic Budget LLC, its owners, employees, contractors, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

Your breach of these Terms
Your violation of any law or regulation
Your violation of any third-party rights
Your misuse of our services
Any financial decisions you make based on our recommendations
Any false or misleading information you provide
Your failure to maintain an active YNAB subscription

10. Termination

10.1 Your Right to Terminate

You may cancel your subscription at any time by:

Emailing info@stoicbudget.com
Using the cancellation feature in your account dashboard
Providing written notice to our mailing address

Cancellation is effective at the end of your current billing period.

10.2 Our Right to Terminate

We reserve the right to suspend or terminate your access to our services immediately, with or without notice, if:

You breach any provision of these Terms
You provide false or misleading information
Your account payment fails repeatedly
Your YNAB subscription lapses or is canceled and you do not reinstate it within 7 days
You engage in abusive, harassing, or threatening behavior toward our staff
You use our services for illegal purposes
You attempt to reverse engineer or copy our business model
Your conduct harms our business, reputation, or other clients
We determine, in our sole discretion, that continuing the relationship is not in our best interest

10.3 Effect of Termination

Upon termination:

Your access to our services will cease
We will revoke our access to your YNAB budget
You will receive a final report summarizing your budget status
You remain responsible for any outstanding fees
Your YNAB subscription remains active unless you cancel it separately with YNAB
All provisions of these Terms that by their nature should survive termination will remain in effect (including confidentiality, limitation of liability, and indemnification)

10.4 Data After Termination

We will retain your data for up to 12 months after termination for record-keeping purposes, then securely delete it unless longer retention is required by law. You may request a copy of your data within 30 days of termination.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal claim, you agree to contact us at info@stoicbudget.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or our services will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration will be conducted:

In Jacksonville, Florida, or via video conference if you prefer
By a single neutral arbitrator
Under the laws specified in Section 12 below
With each party bearing their own costs and attorneys' fees unless the arbitrator awards fees to the prevailing party

11.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

11.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to info@stoicbudget.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the courts specified below.

11.6 Small Claims Court

Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies.

12. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

If arbitration does not apply or you opt out, you agree that any legal action must be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of those courts.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other written agreements between us, constitute the entire agreement between you and Stoic Budget LLC regarding our services and supersede all prior communications, agreements, and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

13.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of Stoic Budget LLC.

13.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

13.5 Force Majeure

We will not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13.6 Electronic Signatures and Communications

You consent to receive communications from us electronically, including via email or through our website. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Electronic signatures and records have the same legal effect as physical signatures and paper records under the E-SIGN Act.

13.8 Headings

The section and subsection headings in these Terms are for convenience only and have no legal or contractual effect.

13.9 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Stoic Budget LLC. You are an independent client, and we are an independent service provider.

14. Service Limitations and Disclaimers

14.1 Scope Limitations

You acknowledge and agree that:

We provide budgeting education and support only, not comprehensive financial planning
Our recommendations are based on the information you provide and may not account for all aspects of your financial situation
You should independently verify all information before making financial decisions
We are not licensed financial advisors, CPAs, attorneys, or investment professionals
Our services do not replace professional financial, legal, or tax advice
We do not have fiduciary duties to you under securities or investment laws

14.2 YNAB Relationship and Requirements

Stoic Budget LLC is an independent business and is not affiliated with, endorsed by, or officially partnered with YNAB (You Need A Budget). We use YNAB software to deliver our services, but you must purchase and maintain your own YNAB subscription directly from YNAB.

Client Responsibilities:

You must purchase your own YNAB subscription from ynab.com
You must maintain an active YNAB subscription at all times while using our services
YNAB subscription fees are separate from and in addition to Stoic Budget fees
You are responsible for complying with YNAB's Terms of Service

Stoic Budget is NOT Responsible For:

YNAB software functionality, features, or availability
Changes to YNAB's features, pricing, or terms of service
YNAB's data security or privacy practices
Technical issues arising from YNAB's platform
YNAB's business decisions, including price increases or service discontinuation
Costs associated with your YNAB subscription
Any disputes between you and YNAB

Service Continuity: If YNAB discontinues service or makes changes that prevent us from providing our services effectively, we will work with you to transition to alternative budgeting solutions or provide pro-rated refunds at our discretion.

14.3 No Emergency Services

Our services are not designed for financial emergencies. We typically respond within 1-2 business days. If you have an urgent financial matter, please contact appropriate professionals immediately.

15. Changes to Terms

We may update, modify, or revise these Terms from time to time at our sole discretion. When we make material changes, we will:

Post the updated Terms on our website with a new "Effective Date"
Notify you via email at least 30 days before the changes take effect
Provide a summary of material changes

Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your subscription before the changes take effect.

18. Acknowledgment and Acceptance
